1. Acceptance of These Terms

These Terms of Service ("Terms") are an agreement between you and Casiva LLC ("Casiva," "we," "us," or "our") governing your access to and use of this website (the "Site"). By accessing or using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

2. About This Site

This Site is an informational resource describing Casiva's labor-first home care operating platform, which integrates franchise, PEO, staffing, BPO, and AI-driven operations. Casiva is an early-stage company, and the Site's content reflects our current plans and offerings, which may change. The Site does not itself provide staffing, employment, payroll, benefits, or back-office services; those are offered, if at all, under separate written agreements.

3. Eligibility

The Site is intended for business users who are at least 18 years old and able to enter into a binding agreement. By using the Site, you represent that you meet these requirements and, if you act on behalf of an organization, that you are authorized to do so.

4. Acceptable Use

You agree to use the Site only for lawful purposes. You will not:

• Attempt to gain unauthorized access to the Site, its systems, or related infrastructure;

• Use the Site to send spam or unsolicited communications.

5. Intellectual Property

The Site and its content — including text, graphics, logos, the Casiva name and marks, images, and design — are owned by Casiva or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your own informational and business-evaluation purposes. You may not copy, reproduce, distribute, modify, or create derivative works from the Site without our prior written permission.

6. Your Submissions

When you contact us through the Site, you are responsible for the accuracy of the information you provide. Communications you send through the Site are not considered confidential, and we are free to use any feedback, suggestions, or ideas you provide without obligation or compensation to you. Please do not submit any confidential or proprietary information you do not wish us to use.

To the fullest extent permitted by law, Casiva and its members, managers, officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or business, arising out of or relating to your use of (or inability to use) the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (US $100).

You agree to indemnify and hold harmless Casiva and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Site will be resolved in the state or federal courts located in Colorado, and you consent to their jurisdiction.
